PRACTICE AREAS:

Banking and Financial Institutions: Our banking and financial institution representation, together with real estate law, is one of the firm's main practice areas. Our emphasis is on providing a broad range of transactional and litigation representation to our financial institution clients, including, negotiating and preparing loan documents and closing loans for both residential and commercial transactions, with an emphasis on real estate based financing. In addition to representing our clients in transactional matters, the firm also represents clients in collecting delinquent loans through negotiation and litigation with delinquent borrowers. The firm has extensive experience in foreclosure litigation, including receiverships, and as part of our banking / financial institutions practice, the firm represents financial institutions and other creditors on a diversity of matters under federal bankruptcy law and related state laws, including creditors' rights litigation and adversary proceedings, negotiation with debtors and/or trustees, loan workouts and restructuring, and stay relief litigation.

Corporate and Business: The firm's corporate and business practice provides counsel and representation in many varied areas including the formation of corporations, limited liability companies, and general and limited partnerships. This practice frequently includes: negotiating and preparing shareholder and employment agreements, advising in the proper structure of a business transaction, and handling purchases and sales of businesses. The firm works closely with the clients' tax professionals to provide representation which best serves the clients' operating, tax and liability concerns.

Litigation: The firm handles a broad range of commercial litigation in state and federal court, including real estate litigation, residential and commercial foreclosures and landlord / tenant matters, bankruptcy, construction defect litigation, Americans with Disabilities Act litigation, debt collection actions, breach of contract or warranty suits, corporate and business tort litigation, and fraud claims. The attorneys in the firm are experienced at handling all phases of litigation and formulate a strategy with the client for a cost-effective resolution of disputes.

Probate / Wills and Trusts: In addition to handling estate administration and probate related matters and litigation, the firm also represents our clients by structuring and preparing wills, trusts and estates to effectuate the financial and family goals of the firm's clients, while at the same time, minimizing taxes.

Real Estate: The firm offers general counsel on a full range of real estate matters, and this practice area, together with our banking and financial institutions practice, comprises a significant amount of our practice. The firm has a strong understanding of the business issues affecting the real estate industry, and we approach this area of the law with awareness and sensitivity to the day-to-day business issues facing our clients. The firm represents financial institutions, builders, developers, design professionals, purchasers and sellers of residential, commercial and industrial property. The firm's representation consists of: negotiating and preparing purchase and sale agreements; counseling clients with complex land acquisitions, financing and leasing; preparing commercial leases and loan documentation, reviewing and insuring title, handling closings, and attending zoning and administrative hearings on a number of land use, zoning and code enforcement matters. The firm also has extensive experience in various types of real estate litigation.
